Fladgate has advised Seko S.p.A, an Italian based global leader in the design and manufacture of dosing pumps and metering systems on the acquisition of the UK headquartered Brightwell Group. Brightwell is a designer and manufacturer of professional hygiene equipment and chemical dispensing and dosing systems.
Brightwell is already active in 85 countries and will complement and expand Seko's existing global business in the professional hygiene market. In addition, WSM Plastics was sold to Seko as part of the deal. WSM is a specialist toolmaker and plastic injection moulder of high-end engineering polymers and will afford Seko the opportunity to further expand into the aerospace market.
Julian Lewis, corporate partner and lead lawyer on the acquisition commented: "This was a very rewarding and highly complex transaction on which to be instructed, given the industry leading status of Seko, the international nature of the Brightwell Group and the complex IP, property and banking elements involved. We managed the acquisition across multiple jurisdictions, including the US, Germany and the U.K and worked very closely with our client’s accounting and tax advisors, PwC."
Gianluca Minicucci, M&A manager at Seko commented: "The Fladgate team were exceptional and demonstrated outstanding commitment to the deal throughout. A special thanks to Julian Lewis, who guided us with extraordinary competence through this successful transaction."
As well as Julian Lewis, the Fladgate team comprised finance partner Luke Morris, property partner James Fry, competition partner Alex Haffner, tax partner Hamilton Forrest, corporate senior associate Melissa Needham, property senior associates Nathan Carter-Smith and Tamsin Bernard, corporate associate Liam Bracken, tax associate Gemma Grunewald, employment associate Caroline Phillips, commercial associate Muhammed Bhaimohmed and finance associate Victoria Brownell.
