Our United States Team

We have represented clients from the United States for over 150 years and are experienced at helping clients and their advisers navigate the differences in approach and styles of communication across the Atlantic.

Our US team is managed by lawyers in our London office who have considerable experience of transactions between the US and Europe, and includes lawyers who have practised in the US and with US law firms in London.

As well as advising US clients trading with the UK and continental Europe, we also advise European clients doing business in the US, who are able to benefit from our contacts within a wide network of US law firms.

The cross-departmental team brings together a number of lawyers who advise on a wide range of corporate and commercial transactions, real estate transactions, construction and infrastructure projects, dispute resolution and international arbitration matters.

International work features heavily, where the group’s dual-qualified lawyers are well placed to advise.

Our Experience

  • BidTimes plc – acquisition of PowerHouse Energy Inc. and its subsequent readmission to AIM (as PowerHouse Energy Group plc).
  • Platinum Diversified Mining, Inc – advising this Special Purpose Acquisition Corporation (SPAC) on its admission to AIM together with a fund–raising of US$79.5m. Platinum was one of the first SPACS to list in London.
  • Greenkote Plc – US$25m acquisition financing to facilitate the acquisition of the assets of Industrial Powder Coatings Inc.
  • Flagship Food Group – acquisition of Atlantic Foods Group Ltd. The enlarged group supplies frozen, shelf–stable and fresh products into both retail and food service markets and also offers food packaging and logistic services and following completion had a combined turnover in excess of US$300m.
  • Morria Biopharmaceuticals Plc – commencement of trading of Morria’s American Depositary Shares, representing its ordinary shares, on the OTC Bulletin Board in the US.
  • Carlton Books – multi–jurisdictional dispute over trademark rights and licence agreements, touching on points of construction and contractual matters in the US and UK.
  • ReSearch Pharmaceutical Services, Inc – reverse takeover by AIM–quoted Cross Shore Acquisition Corporation and readmittance of the enlarged group to AIM.
  • Southridge LLC – acting for this US based investment company on its advice to Bahamas–based Brittany Capital Management Ltd on their entering into a £3m Equity Purchase Agreement Facility with Wren Extra Care Group Plc.
  • Ingmar GB Limited v Eaton Leonard Inc – acting in this leading case on the Commercial Agents Regulations regarding the application of the regulations where the seller (in this case the US) sells into the EU.
  • Dmatek Ltd – acquisition of US based Pro Tech Monitoring Inc., the world’s largest GPS offender tracking technology provider, for a consideration of US$12.5m in cash.
  • Shareholders of Cryptocard – sale of the company to US based SafeNet, one of the largest information security companies in the world.
  • The Electronics Boutique Inc. – securing a major victory in the Court of Appeal on behalf of US video and computer games retailer and EB Services Company against the Game Group plc.
